Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ax402website, seller dashboard, hosted gateway and facilitator services, SDKs, documentation, and related offerings (collectively, the “Services”) provided by AxLabs GmbH(“AxLabs”, “we”, “us”). By creating an account, accessing the Services, or using our APIs, you agree to these Terms.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of registration information and for all activity under your account. Keep credentials, API keys, and wallet access secure. Notify us promptly of unauthorized use.

The Services

Ax402 helps sellers monetize APIs and digital resources using the open x402 payment protocol. Features may include gateway configuration, route pricing, domain management, settlement tracking, SDKs, React paywall components, and starter e-commerce integrations. We may modify, suspend, or discontinue features with reasonable notice where practicable.

The Services interoperate with public blockchains and third-party wallets. We do not operate those networks and are not responsible for their availability, fees, or rule changes.

Acceptable use

You agree not to:

• Violate applicable law or third-party rights.
• Use the Services to distribute malware, conduct fraud, or process unlawful goods or content.
• Attempt to bypass payment, rate limits, or security controls.
• Reverse engineer the hosted Services except where permitted by law.
• Resell or sublicense the hosted Services without our written agreement.

We may investigate violations and suspend or terminate access to protect users, networks, and the platform.

Fees, settlements, and taxes

Pricing for hosted Ax402 features is described on our pricing page and in your dashboard. x402 buyer payments settle according to protocol rules and your configured routes. You are responsible for applicable taxes, regulatory compliance, and disclosures to your own customers.

Blockchain transactions may fail or be delayed. Settlement finality depends on the underlying network. We do not guarantee conversion rates, gas costs, or token valuations.

Your content and configurations

You retain ownership of upstream APIs, branding, and content you connect to Ax402. You grant us a limited license to host, process, and transmit your configurations solely to provide the Services. You represent that you have the rights needed to monetize and expose the resources you publish through the gateway.

Intellectual property

AxLabs and its licensors own the Ax402 platform, website, documentation, and branding. Open-source components and the x402 protocol are subject to their respective licenses. No rights are granted except as expressly stated in these Terms or applicable open-source licenses.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. See our Disclaimer for additional limitations.

Limitation of liability

To the maximum extent permitted by law, AxLabs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or digital assets. Our aggregate liability arising from the Services will not exceed the greater of (a) amounts you paid us for the Services in the twelve months before the claim or (b) CHF 100, except where liability cannot be limited under mandatory law.

Indemnification

You will defend and indemnify AxLabs against claims arising from your use of the Services, your upstream APIs or content, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk to the platform, non-payment, or legal requirements. Provisions that by nature should survive termination (including payment obligations, disclaimers, and liability limits) will survive.

Governing law and venue

These Terms are governed by the laws of Switzerland, excluding conflict-of-law rules. The courts of Zurich, Switzerland have exclusive jurisdiction, subject to mandatory consumer protections where applicable.

Changes

We may update these Terms. Continued use after the effective date of updated Terms constitutes acceptance. For material changes, we will provide notice through the dashboard or by email where appropriate.
